3-Hour Block Strategic Consultation

CONSULTATION AGREEMENT, TERMS AND CONDITIONS
Placing this order constitutes an Agreement between the "Client" indicated on this Order Form and EFG Consulting, Inc., dba: ConvertMORE Consulting (“Consultant” or “EFG”); Together (“the Parties”)

The Parties agree to the following:

SERVICES. Upon execution of this Order-Agreement, EFG agrees to provide marketing services to a minimum of the time specified plus deliverables including but not limited to access to a recording of the Zoom session, session chat notes, any additional deliverables as may be promised verbally or in writing. EFG shall make best reasonable efforts towards delivering the intended results, however results are not guaranteed. No assurance can be given to the Client that EFG will be successful in any event with respect to any aspect of its engagement with the Client, notwithstanding its “best efforts.

PROGRAM PAYMENT and REFUND POLICY. Payment must be received in full prior to scheduling the initial session. A full refund may be requested up to 7:00 AM Mountain Time on the date of the first scheduled session, after which the payment is non-refundable.

INDEPENDENT CONTRACTOR. EFG is an Independent Contractor, not an agent. Each party shall retain responsibility for its compliance with all applicable federal, state and local laws and regulations.

CONFIDENTIAL INFORMATION. For the purposes of this Agreement, “Confidential Information” of Parties shall mean any information disclosed to, or provided access to, the other Party during the course of this Agreement that relates to the either Party’s past, present or future including, but not limited to: (i) research and development, (ii) business activities and methods, (iii) clients and client lists, (iv) products and services, (v) vendor lists, (vi) marketing material and copy, (vii) personnel, (viii) all financial information related to the promotion, including the successful or unsuccessful financial results achieved during and after the program. Confidential information shall not include information that is in the public domain. Except as otherwise provided in the Agreement, all information disclosed by Client as Confidential Information shall remain the exclusive property of the Client, and shall not be disclosed to any third party without express written permission from Client.

APPLICABLE LAW. This Agreement shall be governed by the laws of the State of Colorado, and jurisdiction and venue shall for issues raised in the courts of Boulder County.

MUTUAL INDEMNIFICATION AND LIMITATION OF LIABILITY. The Client agrees to indemnify and hold harmless EFG and its officers, directors, principals, agents, and employees from and against any loss, claim, damage, liability or expense (including reasonable counsel fees and expenses) arising out of or to which EFG may become subject as a result of the conduct or activities of the Client and/or its officers, directors, agents, and employees, or based on any statements, written or verbal, regarding the Client made by the Client itself and/or its officers, directors, agents, and employees. The Client agrees to promptly reimburse EFG for any legal or other expenses as incurred in connection with the investigation or defending of any such loss, claim, damage or liability (or action in respect thereof). In no event shall EFG be liable for acting in accordance with instructions from the Client or any entity or person authorized to act on its behalf.

EFG agrees to indemnify and hold harmless the Client and its officers, directors, principals, agents, and employees from and against any loss, claim, damage, liability or expense (including reasonable counsel fees and expenses) arising out of or to which the Client may become subject as a result of the reckless or grossly negligent conduct or activities of EFG and/or its officers, directors, agents, and employees, or based on any statements, written or verbal, made by EFG itself and/or its officers, directors, agents, and employees which any of the foregoing know or should have reasonably known were materially false or materially misleading at the time that statement was made.

EFG agrees to promptly reimburse the Client for any legal or other expenses as incurred in connection with the investigation or defending of any such loss, claim, damage or liability (or action in respect thereof).

IN NO EVENT SHALL EFG’S TOTAL LIABILITY UNDER THIS AGREEMENT EXCEED THE FEES ACTUALLY PAID BY Client FOR THE SERVICES PROVIDED HEREUNDER. UNDER NO CIRCUMSTANCES SHALL EFG BE LIABLE TO Client OR ANY OTHER PERSON FOR DIMINUTION IN VALUE, TRADING LOSSES, OPPORTUNITY COST, LOST REVENUE OR ANY INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY NATURE, WHETHER OR NOT FORESEEABLE."
